1. Acceptance of Terms

By accessing or using the Geometric website, platform, audit reports, monitoring dashboards, content analysis tools, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

Geometric provides AI visibility audits, ongoing monitoring, competitor analysis, content recommendations, and related tools designed to help businesses understand and improve how they appear in AI-generated answers across platforms such as ChatGPT, Google AI, Perplexity, Claude, and others.

The Service may include free audits, paid subscription plans (Starter, Professional, Enterprise), custom engagements, and any future features or tools we make available.

3. Account Registration

To access certain features, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account credentials secure and confidential
• Notify us immediately if you suspect unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or disable accounts that we reasonably believe violate these Terms.

4. Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You agree not to:

• Reverse engineer, decompile, disassemble, or attempt to extract the source code or underlying algorithms of the Service
• Use the Service for any unlawful, fraudulent, abusive, or harmful purpose
• Scrape, crawl, or use automated tools to extract data from the Service beyond what is provided through your account
• Attempt to interfere with, disrupt, or overload the Service or its infrastructure
• Resell, sublicense, or redistribute the Service or any output from the Service to third parties without our prior written consent
• Misrepresent Geometric reports or data as your own proprietary product or service
• Use the Service to engage in competitive intelligence gathering against Geometric itself

5. Subscription Plans and Payment

Geometric offers multiple subscription tiers with varying levels of monitoring prompts, brand capacity, and user seats. Plan details, pricing, and feature inclusions are described on our pricing page and may be updated from time to time.

• Billing: paid subscriptions are billed in advance on a monthly or annual basis, depending on your selected billing cycle. Annual plans are billed as a single upfront payment.
• Additional Users: each plan includes a base number of user seats. Additional users may be added at the per-seat rate specified for your plan.
• Upgrades and Downgrades: you may change your plan at any time. Upgrades take effect immediately; downgrades take effect at the start of your next billing cycle.
• Failed Payments: if a payment fails, we may retry the charge and/or suspend access to the Service until the payment issue is resolved.

6. Free Audits and Trials

Geometric may offer free audits, trial periods, or promotional access at our discretion. Free services are provided "as is" and may have limited features. We reserve the right to modify or discontinue free offerings at any time without notice.

7. Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us at hello@gogeometric.com. Upon cancellation:

• You will retain access to the Service through the end of your current billing period
• No further charges will be applied after the current period ends
• We do not provide prorated refunds for partial billing periods unless required by law

If you believe a charge was made in error, contact us within 30 days and we will review your case.

8. Intellectual Property

All rights, title, and interest in the Service — including software, algorithms, methodologies, report formats, user interface designs, branding, trademarks, and documentation — are and remain the exclusive property of Geometric or its licensors.

Audit reports and data generated for your account are licensed to you for your internal business use. You may share reports with your team, advisors, or stakeholders, but you may not resell them or present them as a product or service you created.

9. Your Content

You retain ownership of all information, data, URLs, brand names, and other materials you submit to the Service ("Your Content"). By submitting Your Content, you grant Geometric a limited, non-exclusive, worldwide license to use, process, and store Your Content solely for the purpose of operating and delivering the Service to you.

You represent that you have the right to submit Your Content and that it does not violate any third-party rights or applicable laws.

10. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

11. AI-Generated Results

The Service queries third-party AI platforms to assess your visibility in AI-generated responses. You acknowledge that:

• AI responses vary over time, by location, by user context, and by platform version — audit results represent a snapshot, not a permanent state
• Geometric does not control, influence, or guarantee how any AI platform generates its responses
• Recommendations provided by Geometric are informational and do not guarantee specific ranking, citation, or visibility outcomes
• You are responsible for evaluating and implementing any recommendations at your own discretion

12. Availability and Modifications

We strive to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes that affect your active subscription.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANTIS DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF RESULTS.

We do not warrant that the Service will meet your specific requirements, produce particular business outcomes, or that audit results will be error-free.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MANTIS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO MANTIS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless Geometric, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

16. Termination

We may suspend or terminate your access to the Service immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive conduct, or pose a risk to the Service or other users.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately, and we may delete your account data in accordance with our Privacy Policy.

Sections that by their nature should survive termination (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Indemnification) will survive.

17. Dispute Resolution

If a dispute arises under these Terms, you agree to first attempt to resolve it informally by contacting us at hello@gogeometric.com. If the dispute cannot be resolved within 30 days, either party may pursue formal resolution.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any disputes arising under these Terms.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy and any order forms or agreements executed between you and Geometric, constitute the entire agreement between you and Geometric regarding the Service and supersede all prior agreements and understandings.

21. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or through the platform. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
